Responsibilities:

  • Corporate – act as Company Secretary of all Board of Directors and AGM/EGMs / shareholders meetings, including draft, review and coordination of signatures of call notices, agendas, supporting legal and business documents, Minutes, books and records of the company; draft of amendment and review of JVA/SHA and Articles of Incorporation of the all S Korean based legal entities of EssilorLuxottica Group, as well as its branches (opening and closure); appointment and resignations of Directors, changes to shareholders registries, among other corporate and associated governance actions for the above indicated companies, including coordination of foreign subsidiaries documents and corporate approvals Directors; 

 

  • Contracts - draft, review and coordination of signatures of local S Korean law and international contracts, including, distribution, authorized retail agreements, supply, rebates, services (vendor agreements templates and approvals), advertising, sponsorship, leases (real estate property law and other types), loans, collaterals etc.;
  • Employment Law – assist HR with employment law matters, employment contracts and other related matters;
  • Product Claims, Regulatory and Others – review marketing and advertising campaigns materials, products claims, labels, warranties, including consumer law, product liability and other laws applicable to the product concept, development, launch and sales, export (including export / import trade and sanctions compliance), including consumer and advertising laws applicable to medical devices and other health related products and services, working hand in hand with regulatory team or external firms on licenses, permits and required permissions for the sale, import, export of lenses and other products of the above indicated companies;
  • Legal Policies & Compliance - implementation of Legal & Compliance policies and procedures of the above indicated companies, for its subsidiaries and branches, such as data privacy, ABC and AML, Know your Customer, compliance checks, Conflict of Interest policies and procedures etc., assist the Asia Compliance Director – e.g. provide training sessions to local employees on Compliance and Legal themes and policies, assist audit and HR teams and other with investigations, the latter when required;
  • Legal Systems and Reports - insert corporate and contracts documents into legal files and systems (electronic and physical) required by the above indicated companies, as well as provide the monthly litigation and other reports required and related provisions;
  • Litigation – assistance regarding litigation prevention and any litigation containing the above indicated companies and their subsidiaries/affiliates, coordinating the required defenses, witnesses, evidence, hearings etc. with local law firms, managing litigation costs and exposures;
  • Transactions - legal assistance in relation to the interpretation of our local and international projects and transactions of the above indicated companies and their subsidiaries/affiliates; these include NDAs, LoAs, MoUs and other pre-assessment legal documents, due diligence support to external retained lawyers that will conduct it; assistance in review of SPAs, SHAs, as required, with local inputs; 
  • Competition Law – support any antitrust/competition law compliance and actions, filings and analysis, ensuring that competition laws and regulations are complied with by all local, supporting and providing required training sessions.

 

Requirements:

  • Ideally qualified Lawyer in the Republic of Korea with formal S Korean Bar Association registry with legal experience as lawyer;
  • Solid experience (minimum 8+ years) in corporate, commercial law (contracts) and consumer law; knowledge & experience both in law firms in the Republic of Korea and inhouse – companies (including general knowledge of IP law, commercial litigation and arbitration);
  • Legal budget preparation and management general knowledge;
  • Native in Korean and Fluent English (Proficiency level) – legal terminology is required;
  • Strong legal analytical skills (drafting of legal opinions, management of local legal work independently);
  • Proficiency in Microsoft Office, including Word (advanced), Excel and PowerPoint;
  • Compliance (anti-bribery and anti-corruption laws) knowledge and training skills;
  • Also ideally some knowledge of Antitrust/competition law and requirements;
  • Ability to handle multiple tasks and work under pressure;
  • Open to learn from others and honest about not knowing certain areas of law – searches for help; and
  • Team player, flexible, enabler, likes people and work in teams.
  • Pro-actively assesses and mitigates legal risks / challenges associated with the business and operational activities of the above indicated companies and their subsidiaries/affiliates, as well act as an ambassador of its Codes of Ethics, anti-bribery and anti-corruption policies and procedures, guidelines on conflict of interest situations, economic sanctions and trade compliance, data privacy laws and regulations, among others – protection of the above indicated companies’ and their subsidiaries’ and affiliates’ reputation and ensuring high standards of integrity are incorporated and embedded throughout the all legal entities as part of his responsibility;
  • Be an active member of the local team participating in the key meetings, including Board meetings, committees (such as labor, compliance and others), providing legal support as required to all members of the teams in the countries part of his scope of responsibility; and
  • Manage the external legal work (in the Republic of Korea and overseas), as well as of the external lawyers retained for the need of the above indicated companies and their subsidiaries/affiliates of each country of its responsibility, including the review of the invoices to be approved under the local policies.
